EPC Contracts: Ensuring Smooth Delivery and Acceptance

A well-defined EPC (Engineering, Procurement, and Construction) contract is the cornerstone of a successful project. One critical area for clarity is the process for delivery and acceptance of goods and services.

  • Delivery Terms: INCOTERMS (International Chamber of Commerce Terms) provide a standardized vocabulary for specifying delivery obligations. The contract should clearly outline these terms (e.g., FOB – Free On Board, CFR – Cost and Freight) to define responsibilities for transportation costs and risk transfer.
  • Acceptance Criteria: Clear conditions for acceptance, also referred to as “take over,” are essential. This defines when the owner acknowledges the goods or services meet the agreed-upon standards. The contract may also address situations where the owner has already used the delivered items (“deemed acceptance”) and the implications for ongoing obligations.
  • Acceptance Procedures and Documentation: The process for acceptance shouldn’t be left to chance. The contract should detail the required procedures, including any inspections or testing needed to verify compliance with specifications. Documentation requirements for acceptance should also be clearly defined.
  • Linking Acceptance to Other Clauses: Acceptance is a pivotal point in the EPC project lifecycle. The contract should establish clear connections between acceptance and other clauses, such as:
    • •Issuing an acceptance certificate
    • •Transfer of risk from contractor to owner
    • •Release of retention payments held by the owner
    • •Release of the contractor’s performance bond
    • •Commencement of the warranty period
  • Care of the Works: A separate clause (Clause 5) should explicitly outline the responsibilities of both parties for caring for and protecting the works during the period between delivery and acceptance.

By clearly defining these aspects of delivery and acceptance, EPC contracts ensure a smooth handover process, minimize disputes, and pave the way for a successful project completion.
